1. Acceptance of Terms

By downloading, installing, accessing, or using any CertAI exam preparation application ("App") developed by GRP LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

We reserve the right to modify these Terms at any time. Your continued use of the App after any changes constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.

2. Description of Service

CertAI apps provide exam preparation resources for various professional certifications, including but not limited to:

  • CompTIA certifications (Security+, Network+, A+)
  • Cisco CCNA certification
  • Project Management Professional (PMP)
  • ISTQB Foundation Level
  • ASVAB military entrance exam
  • ATI TEAS nursing exam
  • Real Estate licensing exams
  • PTCB Pharmacy Technician certification
  • Commercial Driver's License (CDL) exams
  • Other professional certification exams

The App includes practice questions, study materials, flashcards, progress tracking, and other educational features designed to help users prepare for their respective certification exams.

3. Disclaimer Regarding Certification Exams

Important: CertAI apps are independent study tools and are NOT affiliated with, endorsed by, or officially connected to any certification body, testing organization, or exam provider including but not limited to CompTIA, Cisco, PMI, ISTQB, ASVAB, ATI, PTCB, or any state licensing board.

All certification names, trademarks, and logos are the property of their respective owners. Our apps are designed to help you prepare for certification exams but do not guarantee:

  • Passing any certification exam
  • That our content matches the actual exam content
  • Certification or licensure in any field
  • Employment or career advancement

Users should always refer to official certification body resources for the most current exam objectives, requirements, and study materials.

4. Content and Practice Questions Disclaimer

4.1 Nature of Our Content

IMPORTANT NOTICE: The practice questions, study materials, and exam content provided in our apps are:

  • NOT actual exam questions from any certification body or testing organization
  • NOT obtained from official exam sources or exam dumps
  • Created independently using publicly available information, educational resources, and AI-assisted content generation

4.2 Content Sources

Our practice questions and study materials are derived from:

  • AI-generated content based on official exam objectives and syllabi

We do NOT use, distribute, or claim to provide actual exam questions from any certification provider.

4.3 No Liability for Content

GRP LLC and its affiliates shall NOT be held liable for:

  • Any inaccuracies, errors, or omissions in the practice questions or study materials
  • Any resemblance between our practice questions and actual exam questions (which would be coincidental)
  • Any claims from certification bodies, testing organizations, or third parties regarding our content
  • Any damages, losses, or consequences arising from the use of our content
  • Any exam results or certification outcomes based on using our materials
  • Any decisions made based on the information provided in our apps

4.4 Content Removal Requests

If you believe any content in our apps infringes on your intellectual property rights or violates any laws:

  • We will review your request and take appropriate action, including removing the content if necessary

  • You will not hold GRP LLC responsible for any exam results or outcomes
  • You will not pursue legal action against GRP LLC based on the content provided
  • You accept full responsibility for your use of our study materials
  • You will use the app solely for personal educational purposes

5. User Accounts and Registration

5.1 Account Creation

Some features of the App may require you to create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly update any changes to your information
  • Accept responsibility for all activities under your account

5.2 Account Security

You are responsible for maintaining the confidentiality of your account and password. Notify us immediately of any unauthorized use of your account.

6. Subscription and Payment Terms

6.1 Free and Premium Features

The App may offer both free and premium subscription options. Free features may be limited in scope. Premium subscriptions unlock additional content and features.

6.2 Subscription Terms

  • Subscriptions are billed in advance on a recurring basis (weekly, monthly, or annually)
  • Subscriptions automatically renew unless canceled at least 24 hours before the renewal date
  • Prices are subject to change with notice
  • Payment is processed through your Apple ID account

6.3 Cancellation and Refunds

  • You may cancel your subscription at any time through your Apple ID account settings
  • Cancellation takes effect at the end of the current billing period
  • No refunds are provided for partial subscription periods
  • Refund requests are handled according to Apple's App Store policies

7. Intellectual Property Rights

7.1 Our Content

All content in the App, including but not limited to text, graphics, logos, images, audio, video, software, and practice questions, is owned by GRP LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial educational purposes only.

7.3 Restrictions

You may NOT:

  • Copy, modify, or distribute App content
  • Reverse engineer or decompile the App
  • Remove any copyright or proprietary notices
  • Use the App for commercial purposes
  • Share your account or subscription with others
  • Screenshot, record, or reproduce practice questions
  • Create derivative works based on App content

8. User Conduct

You agree NOT to:

  • Use the App for any illegal purpose
  • Violate any applicable laws or regulations
  • Infringe on the rights of others
  • Distribute malware or harmful code
  • Attempt to gain unauthorized access to the App or its systems
  • Interfere with other users' enjoyment of the App
  • Use automated systems to access the App
  • Share exam questions or answers outside the App

10. Disclaimers

10.1 "As Is" Basis

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR COMPLETENESS OF CONTENT

10.2 No Guarantee of Results

We do not guarantee that using the App will result in passing any certification exam. Exam success depends on many factors beyond our control, including your dedication, study habits, prior knowledge, and the actual exam content.

10.3 Content Accuracy

While we strive to provide accurate and up-to-date content, we cannot guarantee that all information is current, complete, or error-free. Certification exam content and requirements change periodically, and there may be delays in updating our materials.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • GRP LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
  • WE ARE NOT LIABLE FOR ANY LOSS OF DATA, PROFITS, OR BUSINESS OPPORTUNITIES
  • WE ARE NOT RESPONSIBLE FOR EXAM RESULTS OR CERTIFICATION OUTCOMES

12. Indemnification

You agree to indemnify, defend, and hold harmless GRP LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the App
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your violation of any applicable laws

13. Termination

13.1 By You

You may stop using the App at any time. To terminate your account, you may delete the App and cancel any active subscriptions through your Apple ID settings.

13.2 By Us

We may suspend or terminate your access to the App at any time, with or without cause, with or without notice, including if we believe you have violated these Terms.

13.3 Effect of Termination

Upon termination:

  • Your license to use the App ends immediately
  • You must cease all use of the App
  • We may delete your account and data
  • Provisions that should survive termination will remain in effect

14. Governing Law and Disputes

14.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

14.2 Dispute Resolution

Any disputes arising from these Terms or your use of the App shall be resolved through:

  1. Good faith negotiations between the parties
  2. If unsuccessful, binding arbitration in accordance with the rules of the American Arbitration Association

14.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.

15. Changes to the App

We reserve the right to:

  • Modify or discontinue any feature of the App
  • Update content and practice questions
  • Change pricing for premium features
  • Require updates to continue using the App

We will endeavor to provide notice of significant changes but are not obligated to do so.

16. Third-Party Services

The App may contain links to or integrate with third-party services. We are not responsible for:

  • The content or practices of third-party services
  • Any transactions between you and third parties
  • Any damages arising from your use of third-party services

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and GRP LLC regarding the App.

17.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

17.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

17.4 Assignment

You may not assign your rights under these Terms. We may assign our rights without restriction.
